Contractual Matters
Our offer
What we handle for you:
-
Contracts for Work
A Contract for Work governs the obligation between a client and a contractor whose subject matter is the result of a specific activity – whether construction works, software development, project processing, or any other commission. A well-drafted Contract for Work protects both parties: it defines the scope of work, timelines, price, and conditions for handover, and – most importantly – establishes the rules for situations where things do not go to plan: defects arise or one of the parties falls into delay. Having well-drafted provisions on penalties and the right of withdrawal is essential in such cases. A well – or conversely, a poorly – prepared Contract for Work can determine the success and survival of a business.
We prepare Contracts for Work tailored to the specific commission, review counterparty drafts, and highlight provisions that may expose the client to disproportionate risk.

Purchase Agreements
A purchase agreement is a fundamental instrument of commercial dealings. Even though it may appear to be a routine document, the details matter – particularly with respect to the transfer of title, liability for defects, retention of title clauses, and contractual penalties.
We draft purchase agreements for one-off and recurring transactions, contracts for the supply of goods, real estate purchase agreements, and agreements in the context of corporate transactions.
-
Framework Agreements
A framework agreement is a suitable instrument for clients who cooperate repeatedly with the same business partner and wish to have the general conditions clearly agreed in a single contract, without the need to negotiate commercial terms for each individual order.
We structure framework agreements so that individual deliveries proceed without disputes about what was agreed for any given order, providing a solid foundation for long-term and successful cooperation.

General Terms and Conditions (GTC)
GTC are a document underestimated by many entrepreneurs, yet they are key. Well-drafted terms and conditions make it possible to standardise hundreds of contractual relationships at once, limit the supplier’s liability, and prevent disputes about what was and was not agreed.
We prepare GTC for e-shops, service providers, and B2B suppliers, taking into account the current requirements of the Civil Code, the Consumer Protection Act, and relevant case law. GTC prepared for consumer relationships are reviewed against consumer protection requirements to ensure they would withstand a potential inspection by the Czech Trade Inspection Authority.

Why a Qualified Contract Review is as Important as Drafting
A significant portion of our contractual work consists of reviewing contracts submitted by the counterparty. The counterparty typically presents a contract drafted in its own favour, and a client without legal representation frequently signs a document whose consequences only become apparent in hindsight. A qualified review of a counterparty’s draft is prevention against later problems.
We review any contractual documentation, identify risk provisions, and propose specific changes with supporting rationale. The output is not merely a list of comments, but a complete revised contractual text ready for negotiation.
